AIRSPLASH INC. — ORIGAMI CREATOR AGREEMENT This Content Creator Agreement ("Agreement") is entered into between AirSplash Inc., a Delaware corporation doing business as Origami ("Company"), and the undersigned individual ("Creator"). By signing below, Creator agrees to be bound by all terms of this Agreement. ━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━ 1. ACTIVATION & ELIGIBILITY Creator is not an active creator and is not eligible for any compensation until the following activation condition is met: Creator must produce a video that reaches a minimum of 2,500 organic views on a single platform. Upon reaching this threshold, Creator must notify the Company by texting Finn Mallery at 858-245-5471 and providing a direct link to the qualifying video. Company will verify the view count at its sole discretion. Upon verification, Company will issue a one-time activation bonus of $100 ("Activation Bonus"). Payment of the Activation Bonus constitutes Creator's official activation and the start of Creator's eligibility for ongoing compensation under Section 3. Company reserves the right to deny activation if, in its sole discretion, the qualifying video does not meet content standards, is unrelated to Origami or its products, or violates any platform policy. ━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━ 2. THE ONLY REQUIREMENT Creator agrees that every video submitted for compensation must include a visible reference to "origami.chat" in at least one of the following forms: (a) Displayed visually on screen during the video (b) Included in the video caption (c) Posted as the top pinned comment on the video No other content format, quota, or posting schedule is required. However, Company reserves the right to deny payment for any video that, in Company's sole discretion, is not sufficiently related to Origami, its brand, products, or services; contains misleading, offensive, or brand-damaging content; or violates the terms of any platform on which it is published. ━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━ 3. COMPENSATION Following activation, Creator is eligible for monthly compensation calculated as follows: $1,000 USD for every 400,000 total views accumulated across all platforms during the calendar month, up to a maximum of $8,000 USD per month ("Monthly Cap"). Views are counted in full 400,000-view increments. Partial increments do not qualify for compensation. Payment is made on the 1st day of each month for views accumulated during the prior calendar month, via Sideshift to the username provided by Creator at sign-up. Company reserves the right to: (a) Withhold or reduce payment for any video that does not meet the content requirements in Section 2, as determined by Company in its sole discretion (b) Exclude views that Company reasonably believes were artificially inflated, purchased, botted, or otherwise inauthentic (c) Withhold payment pending investigation of suspected fraud or platform policy violations (d) Adjust the compensation rate, Monthly Cap, payment schedule, or any other term of this Agreement at any time, for any reason, without prior notice to Creator. Continued posting by Creator following any such change constitutes acceptance of the revised terms ━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━ 4. UGC MANAGER TRACK If Creator accumulates 5,000,000 or more total views across all platforms in three (3) consecutive calendar months, Company may, at its sole discretion, offer Creator a UGC Manager role ("Manager Role"). The Manager Role is not guaranteed and is subject to a separate written agreement. If offered, the Manager Role may provide compensation of up to $10,000 per month based on the performance of creators onboarded or managed by Creator. ━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━ 5. CONTENT OWNERSHIP & LICENSE All video content created by Creator that references Origami, origami.chat, or any Company product or brand ("Content") is hereby licensed to Company on a perpetual, irrevocable, royalty-free, worldwide, sublicensable basis. Company may use, reproduce, distribute, edit, remix, and display the Content in any medium, including without limitation paid advertising, social media, websites, pitch decks, and promotional materials, without further approval from or compensation to Creator. To the extent any Content qualifies as a work made for hire under applicable law, it shall be the exclusive property of Company. To the extent it does not so qualify, Creator hereby irrevocably assigns all right, title, and interest in the Content to Company. Creator warrants that all Content is original, does not infringe any third-party rights, and does not violate any applicable law or platform policy. ━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━ 6. REPRESENTATIONS & WARRANTIES Creator represents and warrants that: (a) Creator is at least 18 years of age (b) Creator has full legal capacity to enter into this Agreement (c) Creator will not make false, misleading, or defamatory statements about Origami or its products (d) Creator will comply with all applicable FTC disclosure guidelines and platform terms of service (e) Creator will not engage in view fraud, bot activity, or any artificial inflation of metrics ━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━ 7. LIABILITY & INDEMNIFICATION TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY SHALL NOT BE LIABLE TO CREATOR FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF REVENUE, INCOME, OR PROFITS, ARISING OUT OF OR RELATED TO THIS AGREEMENT. Creator agrees to indemnify, defend, and hold harmless AirSplash Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Creator's Content; (b) Creator's breach of this Agreement; (c) Creator's violation of any third-party rights or applicable law; or (d) any claim by a third party related to Creator's posting activities. ━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━ 8. TERM & TERMINATION This Agreement begins on the date Creator signs below and continues on a month-to-month basis until terminated. Company may terminate this Agreement at any time, for any reason or no reason, with or without notice, in its sole discretion. Upon termination, Company's only obligation is to pay any verified, approved compensation owed for the prior calendar month that has not yet been paid, subject to all payment conditions in Section 3. Company is not obligated to pay for any Content published after the termination date, any Activation Bonus if activation had not yet occurred, or any disputed or unverified views. All provisions relating to ownership, license, indemnification, limitation of liability, and dispute resolution survive termination. ━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━ 9. INDEPENDENT CONTRACTOR Creator is an independent contractor and not an employee, partner, joint venturer, or agent of Company. Creator is solely responsible for all applicable taxes, withholdings, insurance, and business expenses. Creator has no authority to bind Company to any obligation. ━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━ 10. DISPUTE RESOLUTION Any dispute arising out of or relating to this Agreement shall be resolved exclusively by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in Delaware. The arbitrator's decision shall be final and binding. Each party waives the right to a jury trial and the right to participate in any class action. Company may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information without waiving its right to arbitration. ━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━ 11. GOVERNING LAW This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. ━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━ 12. MODIFICATION OF TERMS Company reserves the right to modify, update, or replace any provision of this Agreement at any time and for any reason, without notice to Creator. The most current version of this Agreement shall be deemed effective immediately upon posting or communication. Creator's continued participation in the program — including posting any Content referencing Origami after any modification — constitutes Creator's unconditional acceptance of the revised terms. It is Creator's sole responsibility to review the Agreement periodically. ━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━ 13. PAYMENT DISPUTES All compensation determinations, including view counts, eligibility, and payout amounts, are made by Company in its sole and final discretion. Creator agrees that Company's records shall be the definitive source of truth for all view counts and payment calculations. Any dispute regarding payment must be raised in writing to Company within seven (7) days of the payment date in question. Disputes raised after this window are permanently waived. Company's response to any payment dispute is final. Creator waives any right to pursue payment disputes through any court, arbitration, or third-party platform outside of this process, except as expressly provided in Section 10. Company shall not be liable for payment delays caused by third-party payment processors, platform outages, or circumstances beyond Company's reasonable control. ━━━━━━━━━━━━━━━━━━━━━━━━━━━━━━ 14. GENERAL This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior discussions, representations, and agreements. If any provision of this Agreement is found unenforceable, the remaining provisions shall continue in full force. Company may assign this Agreement freely. Creator may not assign this Agreement without Company's prior written consent.
